Terms of trade
These terms apply to all orders placed by trade customers through this site.
1. Who we are
These terms govern the supply of goods by JP Foods (registered in Scotland, company number TBC, VAT number TBC) to trade customers via this website.
2. Trade accounts only
This site is intended for VAT-registered businesses purchasing for resale or business use. By placing an order you confirm you are buying in the course of a business and not as a consumer.
3. Orders and acceptance
Your order is an offer to buy. A contract forms only when we accept the order (by email confirmation or by dispatching goods). We may decline any order at our discretion, including where stock is short, pricing is incorrect, or we cannot verify your account.
4. Prices, VAT and minimum order
Prices shown exclude VAT unless stated. VAT at the applicable rate is added at checkout. Minimum order values and delivery thresholds (where applicable) are shown at checkout.
5. Payment
Payment is taken at checkout via Stripe (card) or by other methods agreed in writing. Goods remain our property until paid in full.
6. Delivery and collection
Delivery and collection arrangements are described on the Delivery & collection page. Delivery times are estimates; we are not liable for losses caused by reasonable delays. Risk in the goods passes on delivery or collection.
7. Inspection, shortages and damage
Please inspect goods on delivery. Any shortages, damage or incorrect items must be reported within 48 hours of delivery, with photographs where applicable. See our Refunds & returns page for the process.
8. Cancellation
Trade orders are bespoke commercial purchases and the consumer right of cancellation under the Consumer Contracts Regulations 2013 does not apply. We may at our discretion accept cancellation requests received before goods are picked.
9. Liability
Our liability for any single claim is limited to the price paid for the goods to which the claim relates. We are not liable for indirect losses, loss of profit, or loss of business. Nothing in these terms limits liability where it cannot lawfully be limited (e.g. death or personal injury caused by negligence).
10. Governing law
These terms are governed by Scots law and the parties submit to the exclusive jurisdiction of the Scottish courts.
